Jay Rothman Joins Quad/Graphics’ Board of Directors

Long-time Directors William Abraham and Thomas Ryder Retire From Board

SUSSEX, Wis.--(BUSINESS WIRE)--May 15, 2017-- Quad/Graphics, Inc. (NYSE: QUAD) (“Quad/Graphics,” “Quad” or the “Company”), a global marketing services provider, announced today that Jay Rothman, Chairman and Chief Executive Officer of Foley & Lardner LLP, has been appointed to Quad/Graphics’ board of directors. Concurrently, long-time directors William Abraham, a retired Partner from Foley & Lardner LLP, and Thomas Ryder, retired Chairman & CEO of Reader’s Digest Association, Inc., are retiring from Quad/Graphics’ board of directors, effective today.

Rothman’s practice areas include Corporate Governance, Securities and Corporate Finance, Mergers and Acquisitions, and Transactional and Securities. He is a member of Foley & Lardner’s Management Committee, Transactional and Securities Practice, and Energy Industry Team. Rothman regularly counsels publicly-held companies on compliance matters under federal and state securities laws, and is a frequent speaker on SEC compliance and corporate disclosure and governance matters.

William Abraham and Thomas Ryder are retiring from Quad/Graphics’ board of directors after serving in their roles for 14 years and seven years, respectively.

With these changes, Quad/Graphics has reduced the size of its board from 10 directors to nine directors.

Jay O. Rothman

Jay Rothman has served as Chairman and Chief Executive Officer of Foley & Lardner LLP, a national law firm, since June 2011. He also has been a member of the firm’s Management Committee since February 2002 and a partner since February 1994. He joined Foley & Lardner LLP in October 1986. The Legal 500 research firm recognized Rothman for his work in the area of mergers and acquisitions in 2010, 2012, 2015 and 2016. In addition, Rothman has been selected by his peers for inclusion in The Best Lawyers in America© since 2005 in the fields of corporate, mergers & acquisitions and securities/capital markets law. He was named “Milwaukee Corporate Lawyer of the Year” in 2010 and 2015, “Milwaukee Mergers & Acquisitions Law Lawyer of the Year” in 2013, “Milwaukee Securities / Capital Markets Law Lawyer of the Year” in 2014, “Milwaukee Corporate Governance Law Lawyer of the Year” in 2016 and “Milwaukee Mergers & Acquisitions Law Lawyer of the Year” in 2017 by Best Lawyers. Rothman also serves as director of Mayville Engineering Company and is Chairman of the Board of Directors of Children’s Hospital of Wisconsin.

William J. Abraham, Jr.

William Abraham has been a director of Quad/Graphics since 2003. He was a partner with Foley & Lardner LLP from 1980 until his retirement in January 2015, and was formerly Chairman of the firm’s Business Law Department and a member of its Management Committee. Abraham served as a director of Proliance International, Inc., from 1995 to 2010 and as a director of Park Bank from 1995 to 2015. He serves as a director of several private companies, including The Vollrath Company, LLC; Lakeview Equity Partners, LLC; and Windway Capital Corp. He has served on the boards of directors of numerous community service organizations, including Family Service of Milwaukee, the Greater Milwaukee Committee, Wisconsin Policy Research Institute advisory board, United Way of Greater Milwaukee, Children’s Hospital Foundation (former chairman of the board), Children’s Hospital and Health System of Wisconsin, Marquette University Business School Advisory Council, the Zoological Society of Milwaukee County, and the Greater Milwaukee Open. Abraham received a Bachelor of Arts from the University of Illinois in 1969 and a Juris Doctor from the University of Michigan Law School in 1972.

Thomas O. Ryder

A director of Quad/Graphics since the July 2010 acquisition of World Color Press Inc., Ryder served as the lead independent director of World Color Press Inc. from September 2009 to July 2010. He has been a member of the board of directors of Inc. since November 2002 and the board of directors of Starwood Hotels and Resorts Worldwide Inc. since April 2001. Ryder was Chairman of the Board and Chairman of the Audit Committee of Virgin Mobile USA, Inc., from October 2007 to November 2009. Prior to becoming World Color Press’ lead independent director, Ryder served as Chairman of the Reader’s Digest Association, Inc., a media and marketing company, from April 1998 to December 2005. Prior to joining the Reader’s Digest Association, Inc., Ryder served in a number of executive roles at American Express, including as President of the American Express Publishing Company. In 1990, Ryder became President of Establishment Services Worldwide for American Express and subsequently ran American Express Travel Related Services Co. (International) Inc. Ryder is a former Chairman of the Magazine Publishers of America and a former board member of the Association of American Publishers and Direct Marketing Association. Ryder received a Bachelor of Arts from Louisiana State University in 1966.
