A: Yes. Quad's Board of Directors has authorized a share repurchase program of up to $100.0 million of the Company's outstanding Class A Common Stock. Under the authorization, share repurchases may be made at the Company's discretion, from time to time, in the open market and/or in privately negotiated transactions as permitted by federal securities laws and other legal requirements. The timing, manner, price and amount of any repurchase will depend on economic and market conditions, share price, trading volume, applicable legal requirements and other factors.

Q: WHEN WAS QUAD’S INITIAL PUBLIC OFFERING (IPO)?
A: Quad’s initial public offering was on July 6, 2010.

Q: WHAT WAS THE OFFERING PRICE AT QUAD’S IPO?
A: On July 6, 2010, Quad/Graphics stock began trading on the New York Stock Exchange under the ticker symbol QUAD at $49.00 per share.

Q: WHAT IS THE EQUITY OWNERSHIP STRUCTURE OF QUAD?
A: Quad’s outstanding stock is divided into two classes of common stock, Class A Common Stock and Class B Common Stock. The Company’s Class A Common Stock is listed on the New York Stock Exchange under the ticker symbol QUAD and is entitled to one vote per share. The Company’s Class B Common Stock is held by certain members of the Quadracci family or trusts for their benefit (and can only be voluntarily transferred to the Company or to a member of the Quadracci “family group,” as defined in the Company’s amended and restated articles of incorporation; and any transfer in violation of the Company’s amended and restated articles of incorporation results in the automatic conversion of such Class B Common Stock into Class A Common Stock).

The Class B Common Stock is entitled to ten votes per share. Each share of Class B Common Stock may, at the option of the holder, be converted at any time into one share of Class A Common Stock. There is no public trading market for the Class B Common Stock. The Class B Common Stock constitutes approximately 80% of Quad/Graphics' total voting power. As a result, holders of Class B Common Stock are able to exercise a controlling influence over the Company's business, have the power to elect its directors and indirectly control decisions such as whether to issue additional shares, declare and pay dividends or enter into corporate transactions. The majority of the Class B Common Stock is held of record by the Quad/Graphics Voting Trust. Since the Quad/Graphics Voting Trust owns more than 50% of the total voting power of the Company’s stock, the Company is considered a controlled company under the corporate governance listing standards of the New York Stock Exchange.
